An accredited investor is an individual or entity that is allowed to invest in certain higher-risk, unregistered securities that are not available to the general public. The U.S. Securities and Exchange Commission (SEC) defines accredited investors based on specific financial criteria:

Income: An individual must have an annual income of at least $200,000 (or $300,000 together with a spouse) for the last two years, with a reasonable expectation of maintaining the same income level.

Net Worth: Alternatively, an individual must have a net worth exceeding $1 million, either alone or with a spouse, excluding the value of their primary residence.
