# Most Expensive Mistake Business Owners Before Exit: Waiting to Build Value and How to Avoid It

by [**Paulo Aguilar, CFA, CAIA**](https://blog.wealthstonegroup.com/insights/author/paulo-aguilar) on Oct 14, 2026

Many business owners begin [preparing for a sale](https://www.wealthstonegroup.com/services/business-exit-planning-esops) when they decide they are ready to sell. By then, some of the most important opportunities to improve the outcome may already be difficult to address.

Buyers generally place greater value on businesses with consistent earnings, capable management, diversified customers, clean financial reporting, and operations that do not depend heavily on the owner. Those characteristics take time to build and, just as importantly, time to demonstrate.

That is why exit planning should ideally begin well before a sale is imminent. The objective is not to predict exactly when the business will be sold. It is to build a company that is prepared for a transaction whenever the owner decides the time is right.

> The mistake is not necessarily selling at the wrong time. It is waiting until you are ready to sell before making the business ready to be sold.

## Buyers Want Confidence in What Happens After You Leave

A buyer is interested in the company's historical performance, but ultimately they are paying for what they believe the business can produce under new ownership.

That makes predictability particularly valuable.

If revenue depends heavily on one customer, the owner controls every important relationship, or the financial statements require substantial explanation, a buyer has to account for those risks. Conversely, a company with consistent financial performance, a capable management team, diversified revenue, and documented processes may give buyers greater confidence that its earnings can continue after the transaction.

This is why exit preparation is different from simply improving profitability before a sale. The goal is to make the quality and sustainability of the business easier for an outside buyer to understand and validate.

## Some Problems Cannot Be Fixed Quickly

Many of the issues that affect the attractiveness of a business require time to address.

Owner dependence is a good example. Hiring a senior manager shortly before a sale does not necessarily demonstrate that the company can operate successfully without the owner. Buyers will want to understand whether management has actually assumed responsibility for customers, employees, operations, and financial decisions.

Customer concentration presents a similar challenge. If a significant portion of revenue comes from one or two relationships, diversification usually requires sustained business development rather than a quick adjustment before going to market.

Financial reporting also benefits from history. Clean statements, consistent accounting policies, well-supported adjustments, and reliable reporting over multiple periods can make due diligence easier and help buyers develop greater confidence in the earnings they are acquiring.

> A buyer does not just want to hear that the business has become less dependent on you. They want evidence that it can operate successfully without you.

## Starting Earlier Creates More Options

The value of preparing early is not simply the possibility of achieving a higher valuation. It gives the owner greater control over the eventual decision.

An owner with a well-prepared business can decide to sell when an attractive buyer appears, when market conditions are favorable, or when personal circumstances make an exit appropriate. If the timing is not right, the owner can continue operating a stronger business.

The opposite situation creates less flexibility. If an owner becomes exhausted, experiences a health or family issue, or simply decides they want to leave quickly, there may not be enough time to address weaknesses before buyers begin evaluating the company.

Preparation therefore has value even if a sale never occurs on the original timeline. Better management, cleaner financial reporting, diversified customers, and documented processes generally improve the business regardless of who ultimately owns it.

## Exit Planning Extends Beyond the Business

Preparing the company for a buyer is only one side of an exit.

The owner also needs to understand what the transaction means personally and financially.

A $10 million headline sale price, for example, does not mean the owner has $10 million available to invest after closing. Taxes, debt repayment, transaction expenses, earnouts, rollover equity, and other deal terms can materially change the amount and timing of the proceeds.

Business owners who also own the real estate used by the company have another decision to make. They may sell the business and retain the property, sell both, lease the property to the buyer, or evaluate a separate real estate transaction. If the real estate is sold, strategies such as a 1031 exchange may also become relevant.

These decisions are easier to coordinate before a transaction is underway rather than after a purchase agreement has already established the structure.

## How to Choose theRight Approach for Your Situation

An owner does not need to know the exact date they plan to sell before beginning exit preparation.

A better starting point is to ask: If a serious buyer approached me tomorrow, what would they find?

Would the financial statements withstand scrutiny? Could management operate the company without the owner? Are customers sufficiently diversified? Are important processes documented? And does the owner know what financial outcome would make selling worthwhile?

The answers can identify where preparation should begin.

For some businesses, the priority may be management. For others, it may be financial reporting, customer concentration, profitability, or succession planning. The important point is to identify those issues while there is still enough time to address them thoughtfully.

## Conclusion

The most costly mistake in preparing a business for sale may be waiting until the owner wants to exit before beginning the work.

Building management depth, reducing owner dependence, strengthening financial reporting, and diversifying revenue can take time. Starting earlier allows those improvements to become part of the company's demonstrated history rather than changes made immediately before buyers arrive.

It also gives the owner something equally important: optionality.

A structured planning discussion can help evaluate the business, the owner's personal financial objectives, real estate holdings, potential tax considerations, and the steps that may improve both the company's readiness and the owner's flexibility before an eventual sale.
